Terms of Service

These Terms of Service ("Terms") govern your access to and use of the workved.com platform operated by Workved Technologies Private Limited ("Workved", "we", "us", or "our"). By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Definitions

  • "Platform" means the workved.com website, mobile applications, APIs, and all related services.
  • "Buyer" means a registered user who uses the Platform to plan office fitouts, generate BOQs, and procure furniture.
  • "Vendor" means a registered business entity that lists and sells products on the Platform.
  • "User" means any individual or entity that accesses or uses the Platform, including Buyers and Vendors.
  • "Content" means all text, images, product data, specifications, pricing, reviews, and other materials uploaded to or generated on the Platform.

2. Eligibility

  • You must be at least 18 years of age to use the Platform.
  • If registering as a Vendor, you must be a legally registered business entity authorized to sell and distribute the products you list.
  • You must provide accurate, current, and complete information during registration and keep your account information up to date.

3. Account Registration and Security

  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe to be compromised.
  • Phone verification may be required for certain account actions. You consent to receiving SMS messages for verification purposes.

4. Platform Services

4.1 For Buyers

The Platform enables you to:

  • Plan and design office layouts using our space planning tools.
  • Browse and select furniture from verified vendors in our curated catalog.
  • Generate detailed Bills of Quantities (BOQs) with automated pricing calculations.
  • Communicate with vendors regarding products and orders.

4.2 For Vendors

The Platform enables you to:

  • Create and manage product listings including specifications, images, and pricing.
  • Reach B2B buyers seeking office furniture and solutions.
  • Receive and manage inquiries and orders.
  • Build brand visibility through your vendor profile.

4.3 Platform Role

Workved operates as a marketplace and estimation platform. We facilitate connections between Buyers and Vendors but are not a party to any transaction between them. We do not manufacture, store, or ship any products. The actual sale, delivery, and after-sales service are the responsibility of the respective Vendor.

5. Vendor Obligations

As a Vendor on the Platform, you agree to:

  • Provide accurate, complete, and up-to-date product information, specifications, pricing, and images.
  • Ensure all SKUs are unique and product listings are correctly categorized.
  • Maintain accurate pricing and stock availability at all times.
  • Hold all necessary legal rights to use the images, content, and brand assets you upload.
  • Have principal approval from your company or brand to list and sell products on the Platform.
  • Comply with all applicable laws, regulations, and industry standards related to your products.
  • Be responsible for the quality, compliance, and performance of your products.
  • Not upload misleading, false, or unauthorized product information or branded content.

6. Content and Intellectual Property

6.1 Your Content

You retain ownership of the Content you upload to the Platform. By uploading Content, you grant Workved a non-exclusive, worldwide, royalty-free license to display, publish, promote, and distribute your Content on the Platform and through our marketing channels for the purpose of operating and promoting the Platform.

6.2 Platform Content

The Platform's design, features, code, logos, and proprietary content are owned by Workved and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Platform without our written consent.

6.3 Project Data

Layouts, BOQs, and other project data you create on the Platform belong to you. We may use anonymized and aggregated project data to improve our services and algorithms.

7. Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable laws.
  • Upload content that infringes on third-party intellectual property rights.
  • Attempt to gain unauthorized access to other user accounts or Platform systems.
  • Interfere with or disrupt the Platform's operation, servers, or networks.
  • Scrape, crawl, or use automated means to extract data from the Platform without permission.
  • Impersonate another person or entity or misrepresent your affiliation.
  • Manipulate pricing, reviews, ratings, or other marketplace mechanisms.

8. Moderation and Enforcement

  • Workved reserves the right to approve, reject, modify, or remove any product listings, Content, or user accounts at its sole discretion.
  • Failure to comply with these Terms or Platform policies may result in warnings, temporary suspension, or permanent termination of your account.
  • We may investigate suspected violations and cooperate with law enforcement when necessary.

9. Fees and Payments

  • Creating a Buyer account and using the Platform's planning tools is currently free.
  • Vendor accounts are currently free. In the future, Vendors may be required to contribute towards marketing and promotional activities of their products on the Platform, subject to sufficient business being generated through workved.com. We will provide reasonable notice of any fee changes.
  • Payment terms for transactions between Buyers and Vendors are governed by their direct agreements.

10. Indemnification

You agree to indemnify and hold harmless Workved, its directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Platform.
  • Your violation of these Terms.
  • Your Content or products listed on the Platform (for Vendors).
  • Any dispute between a Buyer and Vendor arising from a transaction facilitated through the Platform.

11. Limitation of Liability

  • The Platform is provided "as is" and "as available" without warranties of any kind, express or implied.
  • Workved does not guarantee the accuracy of product listings, pricing, or availability posted by Vendors.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
  • Our total liability for any claim related to the Platform shall not exceed the amount you paid to Workved (if any) in the 12 months preceding the claim.

12. Dispute Resolution

  • These Terms are governed by the laws of India.
  • Any disputes arising from these Terms or your use of the Platform shall first be attempted to be resolved through good-faith negotiation.
  • If negotiation fails, disputes shall be subject to the exclusive jurisdiction of the courts in India.

13. Termination

  • You may deactivate your account at any time through your account settings or by contacting us.
  • We may suspend or terminate your account for violation of these Terms, fraudulent activity, extended inactivity, or at our discretion with reasonable notice.
  • Upon termination, your right to use the Platform ceases. We may retain certain data as required by law or for legitimate business purposes, as described in our Privacy Policy.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page, updating the "Last updated" date, and where appropriate, sending you an email notification. Your continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.
